- Name: The
Association shall be called and known as "Cricket
North Shore Incorporated".
- Association: The
Association shall consist of Patrons, President, Vice
Presidents, Honorary Secretary, Honorary Treasurer,
Honorary Assistant Secretary, Records Officer and Life
Members and all affiliated Clubs who shall nominate
two Delegates who shall have full voting power. Unless
otherwise determined by the Association in general
meeting the Honorary Secretary shall be the
Association's Public Officer.
- Objects: The
objects of the Association shall be:-
(1) The conduct, management and promotion of the game
of cricket in the Municipalities of Willoughby and
Ku-ring-gai subject to this Constitution and Rules made
thereunder and in accordance with the Rules of the New
South Wales Districts Cricket Association and in
affiliation with that body.
(2) The holding, managing and carrying out of any other
sport, pastime, social function, fete, fair, game or
occupation for any purpose associated with or incidental
to the conduct, management and promotion of the game of
cricket.
(3) The entry and promotion of representative teams and
the entry thereof in competitions held and conducted by
the New South Wales Districts Cricket Association and for
such other competitions or matches as may be arranged from
time to time.
(4) To acquire and dispose of or otherwise deal with
freehold, leasehold or personal property for any purpose
associated with or incidental to this Constitution.
- Government: The
Government of the Association shall be vested in a
Council which shall be known as the Executive Council
which shall consist of the President, Honorary
Secretary, Honorary Treasurer, Honorary Assistant
Secretary, Records Officer and four other members of
the Association.
- Rules:
(1) The Association in general meeting shall have power
to make Rules not inconsistent with the Constitution.
(2) A Rule shall be made by the method prescribed by
Section 20 (1), (2) and (3).
- Powers: The
Executive Council shall have power -
(1) To conduct, control, finance, administer and manage
the activities of this Association.
(2) To adjudicate all disputes, protests and
contentious matters howsoever arising and for this purpose
the Executive Council shall be the sole judiciary body of
the Association and shall have power to intervene when the
Council by resolution determines to do so.
(3) To suspend players and/or clubs and to enforce
fines and penalties provided for breaches of the rules of
the Association.
(4) To grade Clubs and players.
- Disciplinary Committee: The
Executive Council may appoint a Disciplinary Committee
to determine matters falling under Section 6
(2) and (3). The Executive Council shall specify the
powers of the Disciplinary Committee, such powers not
to exceed those of the Executive Council. Any appeal
against a determination of the Disciplinary Committee
shall be made to the Executive Council. Unless the
Disciplinary Committee decides otherwise, its
determination will stand pending such appeal.
- Appeal to N.S.W. Districts
Cricket Association: Any appeal against any Ruling,
decision or finding of the Executive Council shall be
made to the New South Wales Districts Cricket
Association through the Association and the decision
of such body shall be final.
- General Meetings:
(1) A General Meeting of the Association (which may
also be referred to as a Delegates Meeting) shall be held
on such day during the week succeeding the completion of
each round or on any other day as the Association in
general meeting may determine.
(2) The Annual General Meeting of the Association shall
be held in the month of July in each year on such date and
at such place as the Executive Council determines or in
the absence of such a determination then on the fourth
Wednesday in July.
(3) Notice in writing of the Annual General Meeting
shall be given by the Honorary Secretary to all clubs
affiliated during the preceding season at least fourteen
days prior to the Annual General Meeting.
(4) Six persons present and capable of voting shall
form a quorum at any general meeting of the Association.
- Executive Council Meetings:
(1) A meeting of the Executive Council shall be held at
such time and place as the President, the Honorary
Secretary or any three members of the Council may require.
(2) At any meeting of the Executive Council any three
Councillors present and capable of voting shall form a
quorum.
- Patrons and Vice Presidents: The
Patrons and Vice Presidents of the Association shall
be unlimited in number and shall be elected by the
Association at its Annual General Meeting.
- Election of Officers:
(1) Nominations for the offices of President, Honorary
Secretary, Honorary Treasurer, Honorary Assistant
Secretary, Records Officer, four members of the Executive
Council and Honorary Auditors shall be called at the
Annual General Meeting of the Association and election
shall take place thereat.
(2) At the first meeting of the Executive Council after
its election, a Vice-Chairman shall be elected from
amongst the Councillors, who shall in the absence of the
President, be Chairman at all meetings of the Executive
Council and the Association.
(3) Honorary Auditors shall hold no other office in the
Association except that of a Selector, member of a
Committee or member of the Executive Council.
(4) Officers shall be elected by a simple majority of
votes.
(5) Any retiring officer shall be eligible for
re-election.
- Selectors: Selectors for each
team representing the Association in inter-association
competition conducted by the New South Wales Districts
Cricket Association shall be elected at the General
Meeting at which team nominations for such competition
are decided. Selectors may act in that capacity for
more than one team but at least two selectors shall be
appointed for each team.
- Delegates to New South Wales
Districts Cricket Association: Two delegates and an
alternate delegate to represent the Association at the
New South Wales Districts Cricket Association shall be
nominated and elected at the Annual General Meeting of
the Association.
- Term of Office:
(1) An Office bearer or member of the Executive Council
shall hold office on and from the date of election until
the date of election of a successor or until his
appointment is otherwise terminated, whichever happens
first.
(2) Selectors shall hold office on and from the date of
election until the date of election of a successor or his
appointment is otherwise terminated, whichever happens
first.
- Vacancy:
(1) Any vacancy in any office of the Association,
Executive Council or any Committee shall be filled at the
first General Meeting of the Association after the vacancy
occurs or at such other meeting or in such manner as is
determined.
(2) The Executive Council may declare vacant any office
whose occupant has failed without sufficient reason to
attend three consecutive General Meetings of the
Association or three consecutive meetings of the Executive
Council.
- Registered Address: The
registered address of the Association shall be the
home address of the Honorary Secretary or at such
other place as the Association determines from time to
time.
- Financial Year: The Financial
Year of the Association shall end on the 31st of May
in each year.
- Amendment to the Constitution:
(1) This Constitution may be amended, added to,
repealed, varied or otherwise altered by resolution of a
simple majority at an Annual General Meeting of the
Association or at any adjournment thereof.
(2) Notice of the proposed amendment, addition, repeal,
variation or alteration shall be included in the notice
convening such Annual General Meeting.
(3) Notice setting out the proposed amendment,
addition, repeal, variation or alteration shall be
forwarded to reach the Secretary not less than fourteen
days prior to such Annual General Meeting and such notice
shall be signed by at least two members of the
Association.
- Amendment to Rules: The Rules of
the Association may be amended, added to, repealed,
varied or otherwise altered as follows:-
(1) By notice in writing setting out the proposed
amendment, addition, repeal, variation or alteration
presented to the Secretary at any General Meeting of the
Association signed by any two members of the Association
and
(2) The proposed amendment, addition, repeal, variation
or alteration is carried by resolution at the next General
Meeting of the Association and
(3) The proposed amendment, addition, repeal, variation
or alteration is confirmed at the next succeeding General
Meeting.
- Alternate Delegate:
(1) Each affiliated Club shall have the right to
appoint an alternate Delegate in the same manner as it
appoints a registered Delegate.
(2) The alternate Delegate shall, in the absence of
either of the registered delegates of the club, have full
power to vote and act on behalf of the Club.
- Power of Delegation: There shall
be no delegation of authority except to the extent and
for the purpose provided in the Rules of the
Association.
- Resignations: An office bearer
or Club wishing to resign or withdraw from the
Association shall give notice in writing to the
Honorary Secretary.
- Definitions:
(1) "Association" shall mean "Cricket
North Shore Incorporated".
(2) A "Registered Delegate" shall be a person
appointed by an affiliated Club by notice in writing given
to the Honorary Secretary of the Association for the
purpose of representing and acting on behalf of the
affiliated Club at General Meetings of the Association.
(3) An "affiliated Club" shall be a Club
which has made written application for and has been
accepted by the Association as an affiliated Club and has
paid the prescribed fee.
- Distribution of Assets:
The assets and income of the Association shall be
applied solely in furtherance of its above mentioned
objects and no portion shall be distributed directly
or indirectly to the members of the Association except
as bona fide compensation for services rendered or
expenses incurred on behalf of the organisation.
In the event of the Association being dissolved, the
amount which remains after such dissolution and the
satisfaction of all debts and liabilities, shall be paid
and applied by the Executive Council in accordance with
their powers to any fund, institution, association or
authority which is a non-profit organisation.
- Register of Members: The
Honorary Secretary shall maintain a register of
members of the Association. This register will contain
contact information for the President, Honorary
Secretary, Honorary Treasurer, Honorary Assistant
Secretary and Records Officer and for all affiliated
clubs. The register will be open to any member and on
request by any member a copy of the register will made
available at no charge within 48 hours of the request
being received by the Honorary Secretary.
- Funds: The funds of the
association are to be derived from fees paid by
affiliated Clubs, donations and, subject to any
resolution passed by the Association in general
meeting, such other sources as the Executive Council
determines.
- Proxies: Proxies shall
not be allowed at any meeting.
- Casting Vote: The
Chairman at any meeting of the Executive Council or
any General Meeting of the Association shall in the
case of an equality of votes have a second or casting
vote. At any meeting of any Committee the Chairman
shall not have a casting vote.
- Voting:
(1) At any General Meeting of the Association each
Office-bearer, each Registered Delegate or alternate
Delegate, each Patron, each Vice President and each Life
Member shall have one vote, always provided that no person
irrespective of which two or more positions he holds shall
have no more than one vote.
(2) At any meeting of the Executive Council each
Councillor shall have one vote which shall be cast in the
interest of the Association, always provided that any
councillor whose club is interested in any dispute then
before the meeting shall not vote on any motion in respect
thereof or if he does so vote his vote will not be
counted. At any meeting of any Committee each member shall
have one vote.
- Fees: Fees are to be paid
by affiliated Clubs. Fees levied in respect of a team
may be determined according to the grade of the team.
The fees proposed for each season shall be presented
by the Honorary Treasurer for approval at General
Meeting.
- Bank Account: The funds
of the Association shall be banked in an account to be
styled "Cricket North Shore Inc." at such
Bank and at such Branch of such Bank as the
Association in General Meeting shall decide, with
authority to operate by way of overdraft when
necessary, and shall be operated on by cheques signed
by the President, the Honorary Secretary and the
Honorary Treasurer or any two of them. Additional
interest bearings accounts may be opened at the
discretion of the Executive Council.
- Withdrawals: Any two
Office-bearers mentioned in the preceding Rule shall
have power to withdraw and spend any sum not exceeding
two hundred dollars in payment of any commitment or
any proposed commitment of the Association without
prior sanction of the Executive Council, but all such
withdrawals shall be submitted for approval at the
first meeting of the Executive Council following such
withdrawal.
- Members' liabilities: The
liability of a member of the association to contribute
towards the payment of the debts and liabilities of
the association or the costs, charges and expenses of
the winding up of the association is limited to the
amount, if any, unpaid by the member in respect of
membership of the association as required by Section 31.
- Common seal: The common
seal of the association must be kept in the custody of
the public officer. The common seal must not be
affixed to any instrument except by the authority of
the Executive Council or by resolution of a General
Meeting and the affixing of the common seal must be
attested by the signatures either of two members of
the Executive Council or of one member of the
Executive Council and of the public officer or
Honorary Secretary.
- Custody of books: Custody
of records, books and other documents relating to the
association will be as follows:
(1) Those relating to the financial affairs: normally
by the Honorary Treasurer
(2) Recent minutes: normally by the Honorary Assistant
Secretary
(3) Performance and player registration records:
normally by the Records Officer
(4) Those not held as above: by the Honorary Secretary
- Inspection of books:
Except where the Executive Council reasonably
determines otherwise the records, books and other
documents of the Association must be open to
inspection, free of charge, by a member of the
association at any reasonable hour.
